Cross-border investment and transaction advisory
The difficulty of cross-border investment lies not in sourcing projects, but in judging their real on-the-ground status — whether equity is clear, licences valid, and counterparties actually capable of performance.
Using our local office as the anchor, we provide due diligence, structuring and negotiation support before and after the transaction, so that judgement rests on verifiable materials rather than on the counterparty's own presentation.
The price of a transaction,
is set by the information gap
For the same asset, a local team and a non-local team see different materials. We complete locally verifiable matters first, then move to negotiation of terms, price and protection clauses.
Registration documents, licences, land and mining rights are archived very differently in Central Asia than in China. Originals must be obtained item by item under local rules; copies are not accepted.
Direct shareholding, holding through a local company, and contractual control differ in tax burden, foreign exchange and exit cost. The comparison must be completed before signing.
Closing is only the starting point. Staffing, accounts, tax registration and licence changes must be completed locally one by one; otherwise equity ownership does not enable operations.
Scope of work
Engage as a combined mandate,
or as a single workstream.
Using public registry information and local channels, we first assess whether the asset is genuine and negotiable, and issue a concise preliminary conclusion.
Item-by-item verification and cross-checking of corporate standing, shareholding history, asset ownership, material contracts, litigation and administrative penalties.
Comparison of holding routes, sector access restrictions, dividend and exit taxation, with two to three alternative structures.
Term sheet, bilingual contract review, closing conditions checklist; our local team attends key negotiation milestones.
Materials verifiable in Almaty rarely appear in the presentation file provided by the counterparty.
Deliverables and timeline
Time is counted from receipt of complete materials;
the engagement confirmation prevails.

Each milestone has a defined deliverable;
no meetings without output.
